Welcome to ProAxis International (accessible via ProAxisInternational.com). By submitting inquiries, purchasing sample prototypes, approving digital mockups, or placing bulk custom manufacturing orders with us, you acknowledge and agree to comply with the legal terms and operational conditions detailed below.


1. Scope of Manufacturing Services

ProAxis International operates as an original equipment manufacturer (OEM) and private-label production facility specializing in custom sportswear, teamwear kits, athletic outerwear, and fitness accessories. All products are manufactured in accordance with the specific parameters agreed upon via tech packs, purchase orders, digital mockups, and approved physical counter-samples.


2. Sampling & Pre-Production Approval

  • 3D Mockups: Photorealistic 3D renders and digital layout mockups are provided to verify design placement, color codes (Pantone), embroidery details, and logo scale.
  • Sample Orders: Sample development fees and associated courier freight costs must be paid in advance. Sampling allows clients to evaluate fabric composition, fit, and craftsmanship prior to bulk manufacturing runs.
  • Mass Production Sign-Off: Full-scale bulk manufacturing begins only after written approval of the physical sample, digital strike-off, or tech pack layout is provided by the client. Any modifications requested after mass cutting or dye-sublimation has commenced may incur additional charges and production delays.

3. Minimum Order Quantities (MOQs) & Pricing

  • MOQ Policy: We provide startup-friendly low minimum order quantities across product categories to assist independent athletic brands and local sporting clubs.
  • Factory-Direct Quotes: All official quotations are provided on an agreed commercial basis (such as EXW, FOB, or CIF/Door-to-Door, depending on invoice terms). Quotes remain valid for 30 calendar days due to periodic market fluctuations in raw materials, yarn, and international freight fuel surcharges.

4. Payment Terms & Production Milestones

Unless mutually arranged under formal corporate credit facilities, standard commercial manufacturing orders adhere to the following schedule:

  • Sample Orders: 100% upfront payment prior to pattern drafting and prototyping.
  • Bulk Orders: A standard upfront deposit (typically 50% to 70%) is required to procure designated fabrics, trims, and initiate factory floor cutting, with the remaining balance due upon completion and quality-check clearance prior to dispatch.
  • Payment Channels: Payments are processed via verified wire transfer (T/T), designated corporate banking routes, or authorized digital merchant accounts specified on our commercial invoices.

5. Intellectual Property & Client Trademarks

  • Client Ownership: You retain complete, uncompromised intellectual property rights over all logos, brand insignias, graphics, and proprietary cut-and-sew patterns provided to us.
  • Trademark Warranty: By providing branding assets to ProAxis International, you warrant that you are the lawful owner or authorized licensee of the trademarks, crests, and emblems submitted. We do not knowingly produce counterfeit merchandise or infringe on protected intellectual property.
  • Confidentiality: We will not sell, redistribute, or reproduce your proprietary custom designs or private-label merchandise for any third-party entity.

6. Production Tolerances & Industry Standards

Given the nature of industrial textile manufacturing, custom dyeing, and manual assembly:

  • Size Variance: A standard manufacturing tolerance of ±0.5 to 1 inch across garment grading measurements is considered within acceptable international apparel standards.
  • Color Consistency: While we utilize high-precision sublimation inks and standardized Pantone matching systems, slight shade variations may occasionally occur between physical computer monitor screens and real fabric dye lots.

7. Shipping, Export Logistics & Customs

  • Transit Methods: Shipments are dispatched via commercial air couriers (DHL, FedEx, UPS), air cargo, or containerized ocean freight depending on consignment volume and your preferred delivery timeline.
  • Customs & Tariffs: Unless expressly invoiced on Delivered Duty Paid (DDP) terms, the importing client is responsible for standard destination-country import duties, tariffs, and localized value-added taxes (VAT). ProAxis International prepares standard export declarations, commercial invoices, and packing lists to facilitate rapid port clearance.
  • Force Majeure: ProAxis International is not liable for logistics delays resulting from severe weather disruptions, global port congestions, airline delays, or customs clearance holds outside our direct operational control.

8. Quality Claims, Returns & Warranty

Because every order is custom-manufactured to client-specific branding, measurements, and requirements, merchandise cannot be returned for general refund. However, we back our manufacturing standard:

  • Inspection Window: Any claim regarding verified factory defects, missing quantities, or deviations from the signed tech pack must be submitted in writing within 10 business days of cargo delivery.
  • Remedy: Upon verification with photographic or video documentation, ProAxis International will promptly replace, remake, or issue appropriate credit adjustments for any confirmed defective garments resulting from manufacturing errors.
